Job Description
Your Career
This position is to be the lead attorney on high value and complex
technology licensing transactions involving cyber security products
with an emphasis on intellectual property rights, technology
development projects and partnership arrangements for cloud and
software solutions. This position will report to the leader of the
Technology Transactions team and will be part of the Americas
Commercial Transactions team. You will be part of a fast-moving,
collaborative legal team that impacts all go-to- market aspects of
the business daily. The team is focused on developing our next
generation technology licensing agreements and product partner
programs to scale across Palo Alto Networks' entire technology
portfolio. This position will work closely with product,
engineering, business development, and marketing teams. You will
also be an important resource for Legal colleagues on a global
basis. Strong candidates are proactive, solutions-driven, and
independent, with direct and leading experience in drafting and
negotiating complex software, cloud services, data protection, and
information security agreements.

Your Impact
--- Review, negotiate and conclude complex technology and
intellectual property licensing
agreements involving software and cloud services that comply with
the company's policies and risk tolerance.
--- Support an identified product/engineering organization as the
primary technology transactions attorney for that department,
providing assistance and advice where needed or requested.
--- Provide leadership to the legal team in intellectual property
rights transactions between
software and cloud service technology providers and Palo Alto
Networks.
--- Familiarity with and working knowledge of privacy and
information security legal issues to the extent necessary to
review, draft and negotiate data protection and information
security agreements with customers and partners.
--- Draft, review and negotiate technology partnership, in-bound
licensing, out-bound licensing and distribution agreements,
including new templates to cover newly created programs as needed;
and coordinating/collaborating with commercial counsel outside of
the Americas.
--- Provide supplementary capacity to review, negotiate and
conclude commercial contracts
involving hardware, software, cloud, and support services.
--- Respond promptly and effectively to legal requests from
product, engineering, business
development, senior management, and other internal clients, and
advise on recommended
courses of action and legal risks.
--- Provide legal advice recommendations as may be necessary,
including identifying processes, legal requirements, registrations,
and procedures. Ability to judge when to escalate identified
issues.
--- Assist with legal intern projects and programs as
requested.
--- Support continuous improvement of standard form agreements,
policies and legal processes related to commercial
transactions.
--- Handle special projects as requested.
Qualifications
Your Experience
--- Must be admitted to the bar in at least one U.S. state, and
have a law degree from a reputable law school.
--- Must have 5+ years of strong technology transaction legal
practice involving information
technology.
--- Extensive experience working in a constructive and professional
manner with product,
engineering, and business development personnel and management.
--- Extensive experience as the primary attorney on drafting and
negotiating technology licensing agreements, technology development
agreements, software and cloud services license agreements, and
professional services agreements.
--- Experience drafting and negotiating data processing/data
privacy and information security
agreements and working with subject matter experts in these
areas.
--- Ability to work efficiently with cross-functional teams and
manage numerous projects
simultaneously under deadline pressure.
--- Excellent interpersonal skills, business judgment, strategic
thinking, superior work ethic,
flexibility, and ability to work independently.
--- Superior Language, Written And Verbal Communication Skills
Required.
--- Management of early in career attorneys a plus.
--- Occasional travel.
Preferences
--- Certifications in the areas of data privacy or information
security is a plus.
--- Undergrad or work experience in an engineering, computer
science, computer information
systems, or comparable technical discipline is an important
plus.
